Jade Note Terms of Service

1. Service Overview

Jade Note helps users create, organize, search, and review notes. The service includes note creation and editing, categories, profile settings, AI chat based on user notes, retrieval and indexing features that help the AI find relevant note content, AI-assisted note creation and editing suggestions, triggers and automation, and paid Pro features.

Jade Note uses third-party infrastructure and service providers, including authentication, hosting, database, notification, payment, and AI service providers. Payments and subscription billing are processed through Stripe.

2. Eligibility

Jade Note is intended for users in the United States who are at least 13 years old. If you are under 18, you may use Jade Note only with the consent and supervision of a parent or legal guardian who agrees to these Terms.

Jade Note is not directed to children under 13. You may not create an account or use Jade Note if you are under 13. If we learn that we have collected personal information from a child under 13, we may delete the account and associated information as required by law.

3. Accounts and Authentication

You must sign in with a supported authentication provider to use protected Jade Note features. The current service uses Firebase Authentication ID tokens to authenticate users.

You are responsible for keeping your account credentials secure and for all activity under your account. You must provide accurate account information and promptly update it if it changes. You may not share your account, impersonate another person, or use another person's account without permission.

4. User Content

"User Content" means notes, categories, profile information, prompts, chat messages, uploaded or linked information, and other content that you submit to Jade Note.

You retain ownership of your User Content. By using Jade Note, you grant us a limited, worldwide, non-exclusive, royalty-free license to host, store, reproduce, process, index, retrieve, transmit, display, and otherwise use your User Content only as needed to operate, provide, secure, maintain, troubleshoot, and improve the service features you use.

This license includes permission to process your User Content so Jade Note can generate embeddings, search relevant notes, provide AI chat responses, create or edit note suggestions, run triggers or automations that you configure, and maintain chat history.

You represent that you have the rights needed to submit your User Content and to grant the license above.

5. AI Features and Output

Jade Note provides AI features that can answer questions about your notes, summarize or organize note content, suggest new notes, suggest edits, and run configured trigger or automation workflows.

AI output may be inaccurate, incomplete, outdated, offensive, or unsuitable for your situation. You are responsible for reviewing AI output before relying on it, sharing it, or using it to make decisions. Jade Note does not provide medical, legal, financial, tax, professional, or emergency advice.

Unless we separately ask for and receive your consent, we will not use your notes, chat messages, or other User Content to train or improve AI models. We may process User Content through AI service providers as needed to provide the Jade Note features you request.

6. Plans, Trials, Billing, and Cancellation

Jade Note may offer Free, Pro Trial, and Pro plans.

The Free plan currently includes note creation and editing, category organization, regular search, AI chat features within monthly AI credit limits, AI indexing and sync, AI note creation and editing suggestions, and up to 20 trigger or automation runs per month.

New users may receive a Pro Trial. The current Pro Trial period is 60 days from registration. The Pro Trial is free, does not require a payment card, and does not automatically convert into a paid subscription. During the trial, Pro Trial users may use Pro-level AI features within the Pro Trial usage limits. If you do not have an active paid Pro subscription when the trial ends, your account will move to the Free plan.

The current Pro price is $1 per month or $10 per year. Pro includes Pro-level AI features and a higher monthly AI credit limit. Prices, plan features, and usage limits may change as described in these Terms or in the service.

Paid Pro subscriptions are purchased through Stripe Checkout and automatically renew each month or year, depending on the plan you choose, unless canceled before the renewal date. By purchasing Pro, you authorize Jade Note and Stripe to charge the applicable subscription fees, taxes, and other amounts shown at checkout on a recurring basis until you cancel. Stripe may collect and process your payment information, billing details, taxes, and related payment data under Stripe's own terms and privacy policy. Jade Note does not directly store full payment card numbers.

You may manage or cancel your paid subscription through the Stripe Billing Portal available from your Jade Note account. If you cancel, your Pro access will continue until the end of the then-current paid billing period, and your subscription will not renew after that period. Cancellation does not automatically refund amounts already paid.

Subscription fees are non-refundable except where required by law or expressly stated by Jade Note. If you believe you were charged in error, contact [email protected]. If a payment fails or a billing issue remains unresolved, we may suspend Pro features or move your account to the Free plan.

7. AI Credits and Usage Limits

Jade Note measures certain AI usage with monthly AI credits. AI credits may be based on input tokens, output tokens, embedding tokens, and fixed feature costs.

The current monthly AI credit limits are:

When you reach 100% of your monthly AI credit limit, AI features may stop until the next monthly reset. This may include AI chat, streamed AI chat, AI-assisted note creation, AI-assisted note editing, re-indexing for AI retrieval, and embedding generation.

When your AI credit limit is reached, regular note viewing, note creation and editing, category organization, regular search, profile viewing, and settings may continue to work. Jade Note does not automatically charge overage fees when you reach your AI credit limit.

Triggers and automation may also have monthly run limits. The current limits are 20 runs per month for Free and 120 runs per month for Pro Trial and Pro.

We may change usage limits, credit calculations, eligible features, and reset behavior as the service evolves. If a change materially reduces a paid plan feature, we will provide reasonable notice when required by law or commercially reasonable for the circumstances.

8. Acceptable Use

You may not use Jade Note to:

• violate any law or regulation;
• infringe or misappropriate intellectual property, privacy, publicity, or other rights;
• submit content that you do not have the right to submit;
• harass, threaten, defame, or abuse others;
• send spam or unsolicited messages;
• distribute malware or harmful code;
• attempt to gain unauthorized access to Jade Note, other accounts, systems, or networks;
• interfere with, overload, reverse engineer, scrape, crawl, or disrupt the service except as expressly permitted by law;
• bypass usage limits, security measures, access controls, or billing controls;
• use the service to generate or facilitate illegal, harmful, or abusive activity.

We may investigate suspected violations and remove content, restrict features, suspend accounts, or terminate access when we reasonably believe it is necessary to protect Jade Note, users, third parties, or the public.

9. Privacy

Because Jade Note stores notes and AI chat history, you should avoid submitting information that you are not comfortable storing in the service or processing through service providers. Do not submit sensitive personal information unless you understand the risks and have the right to do so.

10. Account Deletion and Data Requests

You may stop using Jade Note at any time. Until in-app account deletion is available, you may request account deletion or data-related assistance by contacting [email protected].

Some content may be retained for a limited period in backups, logs, billing records, security records, legal compliance records, or records needed to resolve disputes or enforce these Terms. Notes deleted within the service may be soft-deleted or retained as needed for service integrity, backups, or legal compliance before final deletion.

11. Service Changes and Availability

Jade Note is evolving. We may add, modify, suspend, or discontinue features, plans, integrations, limits, or availability. We may also perform maintenance or experience downtime.

We do not guarantee that Jade Note will be uninterrupted, error-free, secure, or available at all times. We are not responsible for failures caused by third-party providers, network conditions, user devices, force majeure events, or circumstances outside our reasonable control.

12. Third-Party Services

Jade Note may depend on or link to third-party services, including authentication, hosting, AI, payment, analytics, notification, and cloud infrastructure providers. Third-party services may have their own terms and privacy policies. We are not responsible for third-party services except to the extent required by law.

13. Intellectual Property

Jade Note, including its software, design, branding, documentation, and service content, is owned by us or our licensors and is protected by intellectual property laws. These Terms do not grant you ownership of Jade Note or any right to use our trademarks, logos, or branding except as necessary to use the service.

Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable right to access and use Jade Note for your personal or internal business purposes.

14. Feedback

If you provide ideas, suggestions, bug reports, or other feedback, you grant us the right to use that feedback without restriction or compensation. You agree that feedback is not confidential unless we separately agree in writing.

15. Suspension and Termination

We may suspend or terminate your access to Jade Note if:

• you violate these Terms;
• your payment fails or your subscription is not in good standing;
• your use creates security, legal, operational, or reputational risk;
• we are required to do so by law or a third-party provider;
• continued service would be commercially or technically impractical.

You may terminate your use of Jade Note by stopping use, canceling paid subscriptions, and requesting account deletion where applicable. Sections that by their nature should survive termination will survive, including sections on User Content licenses needed for retained records, billing obligations, intellectual property, disclaimers, liability limits, governing law, and dispute venue.

16. Disclaimers

To the maximum extent permitted by law, Jade Note is provided "as is" and "as available" without warranties of any kind, whether express, implied, statutory, or otherwise. We disclaim all implied warranties, including merchantability, fitness for a particular purpose, title, and non-infringement.

We do not warrant that AI output will be accurate, complete, reliable, safe, or suitable for any particular purpose. You are responsible for your use of User Content, AI output, and decisions based on the service.

Some jurisdictions do not allow certain warranty exclusions, so some of the exclusions above may not apply to you.

17. Limitation of Liability

To the maximum extent permitted by law, Jade Note and its operators, affiliates, officers, employees, contractors, and service providers will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, lost revenue, lost data, loss of goodwill, business interruption, or substitute services.

To the maximum extent permitted by law, our total liability for all claims relating to the service or these Terms will not exceed the greater of: (a) the amount you paid to Jade Note for the service in the 12 months before the event giving rise to the claim; or (b) $100.

Some jurisdictions do not allow certain liability limits, so some of the limits above may not apply to you.

18. Indemnity

To the extent permitted by law, you agree to defend, indemnify, and hold harmless Jade Note and its operators, affiliates, officers, employees, contractors, and service providers from claims, damages, losses, liabilities, costs, and expenses, including reasonable attorneys' fees, arising from or related to your User Content, your use of the service, your violation of these Terms, or your violation of any law or third-party right.

19. Governing Law and Venue

These Terms are governed by the laws of Japan, without regard to conflict of law rules.

Subject to any mandatory consumer protection rights that cannot be waived under applicable law, the Tokyo District Court in Japan will have exclusive jurisdiction over disputes arising from or relating to these Terms or Jade Note.

If you are a US consumer, nothing in these Terms limits rights you may have under mandatory US federal or state consumer protection laws that cannot be waived by contract.

20. Changes to These Terms

We may update these Terms from time to time. If we make material changes, we will provide reasonable notice, such as by posting the updated Terms, sending an email, or showing an in-service notice. The updated Terms will be effective on the date stated in the notice or document.

Your continued use of Jade Note after the updated Terms become effective means you accept the updated Terms. If you do not agree to the updated Terms, you must stop using Jade Note and cancel any paid subscription before the updated Terms apply to you.
